This Acceptable Use Policy ("Policy") establishes the standards governing the appropriate use of the products, software platforms, cloud services, mobile applications, APIs, websites, Artificial Intelligence services, digital twin technologies, and related offerings (collectively, the "Services") provided by Spatial Guide Private Limited ("Spatial Guide", "we", "our", or "us").

The purpose of this Policy is to help maintain a secure, reliable, lawful, and trusted environment for all customers while protecting the integrity of our Services, our infrastructure, and the information entrusted to us. Because our Services are designed for use by enterprises across multiple industries, including manufacturing, healthcare, logistics, engineering, energy, retail, education, and other regulated sectors, it is important that every customer uses the Services responsibly and in accordance with applicable laws and contractual obligations.

This Policy forms part of our Terms of Service and should be read together with our Privacy Policy, Security Policy, Artificial Intelligence & Responsible Use Policy, Data Processing Addendum, and any applicable commercial agreements. By accessing or using the Services, you agree to comply with this Policy.

Scope

This Policy applies to every individual and organization that accesses or uses the Services, including customers, employees, contractors, consultants, administrators, developers, integration partners, and any other users acting on behalf of a Customer.

The Policy applies regardless of whether the Services are accessed through a web browser, mobile application, API, software integration, embedded technology, or any other supported interface.

Where a separately negotiated agreement establishes additional requirements relating to the acceptable use of the Services, those contractual provisions shall prevail to the extent of any inconsistency.

Responsible Use of the Services

Spatial Guide's Services are intended to support legitimate business, educational, research, operational, and commercial activities. Customers are expected to use the Services in a manner that respects the rights of others, protects the security and availability of the platform, and complies with applicable laws, regulations, contractual obligations, and generally accepted standards of professional conduct.

Customers remain responsible for all activity performed using their accounts, authentication credentials, API keys, administrative privileges, integrations, and organizational environments. This responsibility extends to employees, contractors, service providers, or other individuals who are authorized to access the Services on the Customer's behalf.

Customers are expected to implement appropriate internal governance procedures, user access controls, and organizational policies to ensure that the Services are used responsibly throughout their organizations.

Compliance with Applicable Laws

Customers are responsible for ensuring that their use of the Services complies with all applicable local, national, and international laws and regulations. This includes, where applicable, laws relating to privacy, data protection, cybersecurity, intellectual property, export controls, sanctions, consumer protection, healthcare, financial services, employment, anti-corruption, and other industry-specific regulatory requirements.

Nothing within the Services should be interpreted as relieving Customers of their own legal or regulatory obligations. Customers remain solely responsible for determining whether their intended use of the Services complies with the laws applicable to their organization, industry, and jurisdiction.

Where the Services are used to process Personal Data or other regulated information, Customers remain responsible for obtaining any notices, permissions, approvals, or consents required under applicable law.

Protection of the Services

Customers must use the Services in a manner that preserves the security, stability, and availability of the platform for all users.

Accordingly, Customers must not knowingly interfere with the operation of the Services, attempt to circumvent security controls, introduce malicious software, exploit vulnerabilities, interfere with authentication mechanisms, gain unauthorized access to systems or information, perform unauthorized penetration testing, or otherwise engage in activities that could reasonably compromise the confidentiality, integrity, or availability of the Services.

Similarly, Customers must not intentionally consume excessive infrastructure resources, misuse APIs, bypass service limitations, automate abusive requests, interfere with monitoring systems, or otherwise use the Services in a manner that materially degrades the experience of other customers.

Where security testing is required, Customers should coordinate with Spatial Guide in advance so that appropriate authorization and safeguards may be established.

Customer Content and Information

Customers remain solely responsible for all information, files, documents, images, datasets, prompts, configurations, workflows, and other content that they upload, generate, process, or otherwise make available through the Services ("Customer Content").

By submitting Customer Content, Customers represent and warrant that they possess all rights, permissions, licenses, authorizations, and legal bases necessary to provide such information to Spatial Guide and to permit its processing in accordance with the applicable agreements.

Customers must not upload or process information that they know to be unlawful, fraudulent, defamatory, infringing, malicious, or otherwise prohibited by applicable law. Customers are likewise responsible for ensuring that Customer Content does not violate the intellectual property rights, privacy rights, contractual rights, or other legal rights of third parties.

Spatial Guide does not routinely monitor Customer Content but reserves the right to investigate potential violations of this Policy, applicable laws, or our contractual obligations where reasonably necessary to protect our Services, customers, or legal interests.

Artificial Intelligence and Automation

Certain Services incorporate Artificial Intelligence, machine learning, computer vision, workflow automation, and related technologies. Customers are expected to use these capabilities responsibly and with appropriate human oversight.

Artificial Intelligence should be viewed as a decision-support capability rather than an autonomous decision-maker.

Customers remain responsible for reviewing AI-generated outputs before relying upon them in operational, legal, financial, engineering, healthcare, employment, safety-critical, or regulatory contexts.

Customers must not use AI-enabled Services to facilitate unlawful activities, generate malicious software, impersonate individuals, create deceptive content intended to cause harm, conduct fraud, violate privacy rights, or otherwise misuse Artificial Intelligence in a manner inconsistent with applicable law or Spatial Guide's Artificial Intelligence & Responsible Use Policy.

Respect for Intellectual Property and Privacy

Customers must respect the intellectual property rights, proprietary information, confidential information, and privacy rights of others when using the Services.

Customers must not upload copyrighted materials without appropriate authorization, misuse trademarks, disclose confidential information without authorization, attempt to reverse engineer proprietary technologies except where expressly permitted by applicable law, or process Personal Data in violation of applicable privacy laws or contractual obligations.

Where Customer Content contains information relating to third parties, Customers remain responsible for ensuring that they possess all necessary permissions and legal authority to process such information through the Services.

Shared Security Responsibilities

Maintaining a secure environment requires cooperation between Spatial Guide and its Customers.

Customers are responsible for protecting authentication credentials, enabling available security features, maintaining appropriate user access controls, safeguarding endpoint devices, securing networks from which the Services are accessed, monitoring user activity within their organizations, and promptly reporting suspected security incidents.

Customers should also implement appropriate organizational procedures governing user onboarding, offboarding, password management, administrator privileges, and access reviews in order to reduce operational risk.

Failure to maintain appropriate security practices within a Customer's own environment may increase the likelihood of unauthorized access or misuse that falls outside the reasonable control of Spatial Guide.

Enforcement

Where Spatial Guide reasonably believes that this Policy has been violated, we may investigate the matter using appropriate technical, administrative, and legal processes. Depending upon the nature and severity of the violation, Spatial Guide may provide warnings, request corrective action, temporarily restrict functionality, suspend affected accounts, remove unlawful content where legally permitted, terminate access to the Services, or take other actions reasonably necessary to protect the security, integrity, availability, or lawful operation of the Services.

Where required by applicable law or legal process, Spatial Guide may also cooperate with law enforcement authorities, regulatory agencies, courts, or other governmental bodies in connection with investigations involving suspected unlawful activity.

Nothing in this Policy limits any other contractual or legal remedies available to Spatial Guide.

Reporting Concerns

Customers are encouraged to promptly report suspected violations of this Policy, security concerns, abuse, fraudulent activity, or unauthorized use of the Services. Providing timely and accurate information enables Spatial Guide to investigate issues efficiently and take appropriate corrective action where necessary.

Reports should include sufficient detail to enable investigation, including the affected Service, relevant account information, dates, supporting evidence where available, and a description of the suspected activity.

Changes to this Policy

Spatial Guide may update this Acceptable Use Policy periodically to reflect changes in technology, legal requirements, industry standards, security practices, or the evolution of our Services.

When material revisions are made, the updated Policy will be published through our website or otherwise made available to Customers. Continued use of the Services following the effective date of an updated Policy constitutes acceptance of the revised version unless otherwise required by applicable law or contractual agreement.
